| 2. | Any commission paid to you will not be refundable pro rata , notwithstanding the fact that the shipping guarantee may have been returned to you at a date before the expiry of the six month period
纵该保证书已在六个月期间届满前返还贵行，贵行不须将已收到之当期保证费一比例退还本公司。 |
| 3. | If we fail to repay the loan facility in connection with the shipping guarantee to you when due , we undertake to pay a penalty equal to nt $ 300 or such other lower amount on a daily basis
若本公司逾期偿还贵行有关保证书之贷款，本公司同意贵行得按日向本公司收取相当于或低于新台币三佰元整之违约金。 |
| 4. | We hereby agree to accept any claim or demand on you as conclusive evidence that you were liable to pay and any payment made pursuant to such demand which purports to be in accordance with the shipping guarantee as binding upon us
本公司兹同意于贵行接到该保证书之求偿时，贵行即有履行该保证书下之付款责任，且贵行依该保证书所为之付款，对本公司有绝对之约束力。 |
| 5. | We hereby apply to you for countersigning a guarantee for delivery of goods without bill of lading ( “ shipping guarantee ” ) in favor of the shipping company / agent of vessel to enable us to take delivery of the commodities without production of the bill of lading
兹因贵行于上述有关正提货单/空运提单背书、担保提货保证书，本公司同意负责免除贵行因此可能发生之一切损害、损失或费用(包括律师费等) ，并同意一经要求给付贵行因该背书保证行为所发生之一切赔偿、损害、损失、费用与各种负担。 |
| 6. | You shall be paid for so long as the shipping guarantee ( s ) is in force , and until it is returned to you a commission at such rate as separately agreed to between you and us on the amount of each such shipping guarantee , such commission to be payable six - monthly in advance on the date of issue of the shipping guarantee and at intervals of six months following such date
自担保提货保证书签署日起至该保证书返还贵行之日止之期间，本公司应向贵行支付保证费，保证费应就各该保证书之总金额依本公司与贵行约定之利率计算，以每六个月为一期，于每期期初支付之。 |
